Terms of Service
Payzium Corp (USA) and Payzium Holding Inc. (Canada)

1. Acceptance and Scope
These Terms of Service (the "Terms") form a binding contract between you, the business or person acting on behalf of a business that uses our Services ("you" or "User"), and the Payzium entity identified in Section 2 ("Payzium", "we", "us", "our"). They cover your access to and use of payzium.com, statementsavings.com, the Payzium audit submission process, the audit deliverable, related communications, and any other website, application, or service that links to these Terms (collectively, the "Services").
Acceptance. By submitting a statement, requesting an audit, creating an account, becoming a partner, or otherwise using the Services, you accept these Terms. If you are accepting on behalf of a business, you represent that you have the authority to bind that business, and "you" and "User" mean both you and that business.
B2B service. The Services are intended for businesses and the individuals who act on their behalf in a professional capacity. The Services are not directed to consumers in their personal capacity. By using the Services, you represent that you are using them for business purposes.
Other agreements. Specific Services may be governed by additional terms (for example, the Payzium Partner Agreement for partner-program participants, or a separate Statement of Work for paid engagements). In case of conflict between these Terms and a signed agreement that expressly references it, the signed agreement controls for the matters it covers.
2. Who You Are Contracting With
Payzium operates through two affiliated entities. Which entity is your counterparty under these Terms depends on where your business is located:
- Payzium Corp, a Delaware corporation, is your counterparty if your business is located in the United States, Mexico, the Caribbean, or any jurisdiction other than Canada, the European Economic Area, the United Kingdom, or Switzerland.
- Payzium Holding Inc., a Quebec corporation, is your counterparty if your business is located in Canada, the European Economic Area, the United Kingdom, or Switzerland.
References to "Payzium" in these Terms mean whichever of the two entities above is your counterparty based on your business location. The two entities share infrastructure and operating standards but each remains independently responsible for its own contractual obligations to its Users.
3. Description of Services
The Services include the following, in each case as offered by Payzium from time to time and subject to availability:
- Merchant processing audit. Upon submission of a merchant processing statement and your authorization, Payzium analyzes the statement, calculates effective rates and benchmarks, identifies potential overcharges, and prepares a written audit deliverable describing findings and, where applicable, recommended next steps.
- Educational and informational content. Articles, calculators, comparison tools, and other content made available on or through the Services for informational purposes only.
- Communications. Email, telephone, and other communications relating to your audit, follow-up questions, and (where you have opted in or applicable law permits) commercial communications about Payzium services.
- Introductions to Partner Processors. Where the audit deliverable identifies an opportunity to reduce processing costs, Payzium may introduce you to one or more independent payment processors, acquiring banks, or independent sales organizations that may be able to offer improved pricing or service (each, a "Partner Processor"). Any subsequent relationship between you and a Partner Processor is between you and that Partner Processor and is governed by their separate agreements with you.
How Payzium is compensated. The audit and the Services are provided to you at no charge. Payzium may receive compensation from a Partner Processor if you elect to engage that Partner Processor following a Payzium introduction. Payzium's compensation is paid by the Partner Processor and does not increase the amounts you would otherwise pay. Payzium retains the discretion and the obligation to recommend in good faith based on the data, including a recommendation to keep your current processor where the analysis supports it.
4. Eligibility and Account Information
You may use the Services only if all of the following are true:
- You are at least 18 years old (or the age of majority in your jurisdiction, if higher).
- You have the authority to act on behalf of the business whose statement you submit.
- Your use of the Services and your business activities comply with applicable law.
- You are not located in, or ordinarily resident in, a country subject to comprehensive trade sanctions administered by the United States Office of Foreign Assets Control or by Canada, and you are not on any list of restricted parties maintained by either jurisdiction.
- You have not been previously suspended or removed from the Services by Payzium.
Accuracy of information. You agree that the information you provide to Payzium will be accurate, current, and complete, and you will keep it up to date. Payzium may rely on the information you provide. Submitting falsified statements, statements you do not have authorization to submit, or false business or contact information is a material breach of these Terms.
Account credentials. If we offer accounts and you create one, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
5. Submission of Merchant Processing Statements
This Section 5 governs what you authorize Payzium to do when you submit a merchant processing statement to us.
5.1 What you authorize Payzium to do
By submitting a merchant processing statement (or by submitting any equivalent document, data export, or processor account information) and confirming the authorization on the audit form, you authorize Payzium to:
- Receive, store, parse, and analyze the statement and the data it contains, including by automated and AI-assisted processing.
- Use the statement and the data it contains to prepare and deliver the audit deliverable to you.
- Disclose the statement and related information to one or more Partner Processors solely for the purpose of preparing a competing processing offer for your business.
- Verify with your current processor (where helpful and on a name-and-account-number basis only) the accuracy of the pricing terms reflected on the statement, on a strictly informational basis.
- Contact you by email, telephone, or other means you have provided to deliver the audit, ask reasonable follow-up questions, and discuss the audit findings.
5.2 What this authorization does NOT include
The authorization in Section 5.1 does not authorize Payzium or any Partner Processor to:
- Make any change to your existing processor account, including instructions to close, modify pricing on, or transfer your account.
- Switch you to a Partner Processor or open any new merchant account in your name. Any such change requires a separate written agreement signed by you with the Partner Processor and is governed by that agreement.
- Hold yourself out as your representative for purposes other than the limited informational verification described in Section 5.1.
- Use the statement or your data to compete with you, to solicit your customers, or for any purpose unrelated to delivering the audit and a competing processing offer.
5.3 Withdrawal of authorization
You may withdraw the authorization in Section 5.1 at any time by emailing privacy@payzium.com. Withdrawal does not affect anything Payzium has lawfully done before receiving your withdrawal. Payzium will continue to retain records as described in the Privacy Policy and as otherwise required by law.
5.4 Your representations regarding submitted statements
By submitting a statement, you represent and warrant that:
- The statement is a genuine, unaltered statement issued to your business or to a business you are authorized to represent in this matter.
- You have the legal right to disclose the statement to Payzium and to permit Payzium to disclose it to Partner Processors as described in Section 5.1.
- Submitting the statement does not violate any contract you have with your current processor or any applicable law.
- The contact information you provide is your own or that of an authorized representative of your business.
6. The Audit Deliverable
Informational only. The audit deliverable is an informational analysis based on the data you provide and on industry benchmarks available to Payzium. It does not constitute legal, accounting, financial, tax, or investment advice. You should consult your own advisors before making business decisions based on the audit.
Limits on accuracy. The audit's accuracy depends on the completeness and accuracy of the statement you submit, on the period it covers, and on industry benchmark data that updates over time. Effective rates, projected savings, and benchmark percentiles are estimates, not guarantees. Actual savings achieved through any subsequent processor change depend on factors outside Payzium's control, including your transaction mix, future card-network costs, and the terms you negotiate with the receiving Partner Processor.
Use of the audit. Subject to these Terms, Payzium grants you a non-exclusive, non-transferable, non-sublicensable license to use the audit deliverable solely for your business's internal purposes, including in negotiations with your current or prospective processors. You may not republish, redistribute, white-label, resell, or use the audit deliverable to develop a competing service.
7. The $500 Cost Reduction Guarantee
The promise. Subject to the eligibility requirements and exclusions in this Section 7, if Payzium is unable to lower your merchant processing costs after you complete a full audit and engage Payzium's recommended Partner Processor, Payzium will pay you five hundred United States dollars ($500 USD) for United States Users, or five hundred Canadian dollars ($500 CAD) for Canadian Users (the "Guarantee Payment").
7.1 Eligibility
To be eligible for the Guarantee Payment, all of the following must be true:
- Complete submission. You submitted at least one complete, genuine, current (issued within the last 90 days) merchant processing statement and provided the additional information Payzium reasonably requested to complete the audit.
- Audit completion. Payzium issued a written audit deliverable to you and recommended a specific Partner Processor.
- Processor engagement. You executed an application with the recommended Partner Processor within thirty (30) days of receiving the audit deliverable, were approved for boarding, and accepted the offered pricing.
- Sustained period. You processed with the Partner Processor for at least three (3) consecutive complete monthly billing cycles after boarding (the "Measurement Period"), with a transaction volume mix substantially similar to that reflected in your submitted statement.
- No material change. You did not, during the Measurement Period, materially change your business operations, business model, accepted card brands, ticket sizes, or transaction mix in a way that increased your processing costs.
- Comparable basis. Your effective processing rate during the Measurement Period, calculated on the same basis as the rate reflected in the statement you originally submitted, did not decrease relative to that original effective rate.
- Good standing. You are not in breach of these Terms or of any agreement with the Partner Processor at the time of the claim.
7.2 Exclusions
The Guarantee Payment is not available, and Payzium has no obligation to pay it, in any of the following circumstances:
- You did not engage the Partner Processor that Payzium specifically recommended in writing.
- Payzium's audit deliverable did not recommend a switch (for example, because the analysis concluded that you were already well-priced relative to industry benchmarks for your profile).
- You operate in a high-risk vertical or category for which the Partner Processor declines to board you, or for which no Partner Processor available to Payzium can offer improved pricing.
- The submitted statement was inaccurate, incomplete, falsified, or not for your business.
- You hold processing-related contractual relationships (for example, with a payment-facilitator, ISV, or platform aggregator) that determine your effective rate independent of any direct processor relationship.
- Card-network or interchange-rate increases announced after the audit's effective date materially affect the comparison, in which case Payzium will perform the comparison on a pre-and-post-change adjusted basis in good faith.
- You materially modified your business operations during the Measurement Period in a way that affected the comparison, including by changing card brands accepted, processing channels, or pricing model.
- Payzium has previously paid you a Guarantee Payment relating to the same business or to substantially the same set of locations.
7.3 How to claim
To claim the Guarantee Payment, send a written notice to claims@payzium.com (or to the postal address in Section 20) within ninety (90) days following the end of the Measurement Period, including (a) your business name and audit reference, (b) processing statements covering the Measurement Period, and (c) any additional documentation reasonably requested by Payzium to verify the claim. Payzium will evaluate the claim and, if eligible, pay the Guarantee Payment within thirty (30) days of confirmation by check, ACH, or other commercially reasonable means.
7.4 Maximum payment
The Guarantee Payment is a one-time payment of $500 (in the applicable currency) per business, regardless of the number of merchant locations, statements submitted, or audits performed. Payzium's aggregate liability under this Section 7 is capped at the Guarantee Payment amount and is in lieu of any other claim arising from a failure of Payzium to lower your costs.
8. Communications and Marketing
Service communications. By using the Services, you consent to receive Service-related communications from Payzium and our Partner Processors necessary to deliver the audit and respond to your inquiries.
Marketing communications. Where applicable law requires opt-in consent for commercial electronic messages (for example, Canada's Anti-Spam Legislation), Payzium will rely only on the consent you provide or on the implied consent permitted by law for B2B communications. You may unsubscribe from marketing communications at any time using the unsubscribe link in any message or by emailing privacy@payzium.com. Unsubscribing from marketing does not unsubscribe you from Service communications.
Telephone communications. Where you provide a phone number, you consent to Payzium and our Partner Processors contacting you at that number using manually placed calls and live operators. Payzium does not place automated outbound calls or pre-recorded messages to your cell phone without your express prior written consent.
9. Acceptable Use
You agree not to, and not to permit others to:
- Submit information you do not have the legal right to share with Payzium.
- Submit falsified, fabricated, or altered statements, or statements relating to a business you are not authorized to represent.
- Submit a statement, or take any action, with the primary intent of triggering or attempting to trigger the $500 Guarantee Payment.
- Use any robot, scraper, or other automated means to access the Services other than through publicly documented APIs offered by Payzium.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, models, or algorithms used by the Services.
- Use the Services to develop, train, or improve a competing product or service.
- Probe, scan, or test the vulnerability of the Services, or breach or circumvent any security or authentication measure.
- Use the Services to transmit material that is unlawful, infringing, defamatory, or that contains malicious code.
- Misrepresent your identity or affiliation with any person or organization.
- Use the Services in a manner that interferes with the experience of other Users or imposes an unreasonable load on Payzium's infrastructure.
- Engage in any activity that violates applicable law (including, where applicable, payment-card-industry rules, telemarketing rules, anti-spam law, anti-money-laundering law, sanctions law, and consumer-protection law).
10. Intellectual Property
10.1 Payzium's intellectual property
As between you and Payzium, Payzium and its licensors own all right, title, and interest in and to the Services, the audit deliverable, the Payzium analytical methods and benchmarks, the website, the Payzium and StatementSavings names and logos, and all related intellectual property. No license is granted to you except as expressly stated in these Terms.
10.2 Your content
You retain ownership of the merchant processing statements and other content you submit to Payzium ("Your Content"). You grant Payzium a worldwide, royalty-free, non-exclusive license to use, copy, store, modify, create derivative works of, and disclose Your Content as necessary to deliver the Services to you, to operate and improve the Services, and to comply with law. The right to disclose Your Content to Partner Processors is limited as described in Section 5.
10.3 Aggregate and de-identified data
Payzium may create aggregate, statistical, or de-identified data from the information you submit, where the data does not identify you or any individual. Payzium may use such aggregate or de-identified data for any lawful business purpose, including to improve its analytical models, publish industry benchmarks, and develop new products.
10.4 Feedback
If you provide Payzium with feedback or suggestions about the Services, you grant Payzium a perpetual, irrevocable, worldwide, royalty-free license to use the feedback for any purpose without obligation to you.
11. Confidentiality
Mutual obligation. Each party agrees to keep confidential the non-public business information disclosed by the other party in connection with the Services ("Confidential Information"), and to use it only for purposes of performing or receiving the Services. Each party may disclose Confidential Information to its employees, contractors, advisors, and (in Payzium's case) Partner Processors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Section 11.
Exclusions. Confidential Information does not include information that (a) is or becomes publicly available through no breach of these Terms, (b) was known to the receiving party without restriction before disclosure, (c) is independently developed without use of the disclosing party's Confidential Information, or (d) is rightfully received from a third party without confidentiality obligations.
Compelled disclosure. A party may disclose Confidential Information if compelled by law, provided it gives the other party prompt notice (where legally permitted) and cooperates in efforts to limit the scope of the disclosure.
12. Fees
The audit and the basic Services are provided to you at no charge. Payzium may, in the future, offer paid services under separate terms. If you engage a Partner Processor, you will pay processing fees to that Partner Processor under your separate agreement with them. Payzium may receive compensation from Partner Processors as described in Section 3.
13. Disclaimers
THE SERVICES, THE AUDIT DELIVERABLE, AND ALL CONTENT MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAYZIUM AND ITS LICENSORS, AFFILIATES, AND PARTNER PROCESSORS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR TRADE USAGE.
WITHOUT LIMITING THE FOREGOING, PAYZIUM DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THE AUDIT DELIVERABLE WILL IDENTIFY ALL POTENTIAL OVERCHARGES OR INEFFICIENCIES, (C) ANY ESTIMATE OF SAVINGS OR EFFECTIVE RATE WILL MATCH ACTUAL EXPERIENCE, OR (D) ANY PARTNER PROCESSOR WILL APPROVE YOUR APPLICATION OR DELIVER THE PRICING OR SERVICE QUALITY YOU EXPECT. THE ONLY EXPRESS COMMITMENT PAYZIUM MAKES REGARDING SAVINGS IS THE LIMITED $500 GUARANTEE IN SECTION 7, ON ITS STATED TERMS.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed under applicable law, the disclaimers in this Section 13 apply to the maximum extent permitted by that law.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PAYZIUM, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PAYZIUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PAYZIUM'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PAYZIUM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (WHICH MAY BE ZERO FOR USERS OF THE FREE AUDIT) OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD), EXCEPT THAT WHERE PAYZIUM IS LIABLE TO PAY THE GUARANTEE PAYMENT UNDER SECTION 7, THAT GUARANTEE PAYMENT IS PAYABLE IN ADDITION TO THE CAP IN THIS SECTION 14.
Quebec users. Nothing in these Terms limits liability that cannot be limited under applicable Quebec law, including liability for gross or intentional fault and liability for bodily or moral injury caused to a person.
Other jurisdictions. If applicable law does not permit the limitations in this Section 14 in whole or in part, those limitations apply to the maximum extent permitted by law and will not exclude any liability that cannot be excluded.
15. Indemnification
By you. You agree to defend, indemnify, and hold harmless Payzium, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of any law or third-party right (including any agreement you have with your current processor), (c) Your Content or any statement or information you submit, or (d) any allegation that your authorization in Section 5 was not validly given by a person with authority to give it.
By Payzium. Payzium will defend you against any third-party claim alleging that the Payzium-developed audit deliverable, as delivered by Payzium and used by you in compliance with these Terms, infringes that third party's United States or Canadian copyright or trademark, and will pay damages and costs finally awarded against you for such claim, provided you promptly notify Payzium, allow Payzium sole control of the defense and settlement, and provide reasonable cooperation. The foregoing does not apply to claims arising from (i) your modification of the audit deliverable, (ii) your use of the audit deliverable in combination with any other product or service not provided by Payzium, or (iii) Your Content.
These provisions state Payzium's sole obligations and your sole remedy with respect to third-party intellectual-property claims relating to the Services.
16. Term and Termination
Term. These Terms apply from the time you first use the Services and continue for as long as you use them.
Termination by you. You may stop using the Services at any time and may request deletion of your information as described in the Privacy Policy.
Termination by Payzium. Payzium may suspend or terminate your access to the Services at any time, with or without notice and with or without cause, including if Payzium reasonably believes you have breached these Terms or used the Services in a manner that exposes Payzium or other Users to risk.
Effect of termination. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination (including Sections 5.4, 6, 10, 11, 13, 14, 15, 17, 18, and 19) will survive.
17. Governing Law and Dispute Resolution
17.1 United States Users (Payzium Corp)
Governing law. If your business is located in the United States or another jurisdiction for which Payzium Corp is your counterparty, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Mandatory individual arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted in English. The seat of arbitration will be Wilmington, Delaware, United States, and may be conducted by video conference. Judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER. EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. IF THIS CLASS-ACTION WAIVER IS HELD UNENFORCEABLE, THEN THE ENTIRE ARBITRATION PROVISION IN THIS SECTION 17.1 WILL BE NULL AND VOID, AND ANY DISPUTE WILL INSTEAD BE LITIGATED IN THE COURTS DESCRIBED BELOW.
Carve-outs. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual-property rights, confidential information, or to enforce the class-action waiver above. The exclusive jurisdiction for any such proceeding, and for any Dispute not subject to arbitration, is the state and federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts.
Opt-out. You may opt out of the arbitration agreement and class-action waiver in this Section 17.1 by sending written notice to legal@payzium.com within thirty (30) days of first accepting these Terms. The notice must include your business name, your name, and a clear statement that you wish to opt out. Opting out of arbitration does not affect any other part of these Terms.
17.2 Canadian, EEA, UK, and Swiss Users (Payzium Holding Inc.)
Governing law. If your business is located in Canada, the European Economic Area, the United Kingdom, or Switzerland, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Forum. Any Dispute will be brought exclusively in the courts of the District of Montreal, Province of Quebec, Canada, and the parties consent to personal jurisdiction in those courts. Nothing in these Terms is intended to deprive a User in the European Economic Area, the United Kingdom, or Switzerland of the protection of mandatory consumer-protection rules of their place of residence to the extent those rules apply.
Language. The parties have requested that these Terms and all related documents be drafted in English. Les parties ont demandé que la présente convention et tous les documents qui s'y rattachent soient rédigés en anglais.
18. Changes to These Terms
Payzium may update these Terms from time to time. When we do, we will revise the "Effective date" and "Last reviewed" dates at the top. If the changes are material, we will provide additional notice (for example, by email to active Users, by a banner on the Services, or as required by applicable law) before the changes take effect. Your continued use of the Services after the effective date of a revised version of these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
19. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any signed agreement that expressly references and supplements these Terms, constitute the entire agreement between you and Payzium regarding the Services and supersede all prior or contemporaneous communications and proposals on the subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
No waiver. A failure to enforce a provision is not a waiver of the right to do so later.
Assignment. You may not assign these Terms without Payzium's prior written consent. Payzium may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
No third-party beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights. Partner Processors are intended third-party beneficiaries of Sections 5, 9, 13, 14, and 15.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, internet or telecommunications outages, governmental action, or pandemic.
Independent contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
Notices. Payzium may give notice by email to the address you provided, by a notice on the Services, or by mail to your business address. Notices to Payzium must be sent to the address in Section 20 with a copy to legal@payzium.com.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
